ADRIENNE FELLER AND PANAROM WEBSHOP

Date of entry into force: 23 May 2024

  1. PURPOSE OF THE GTC, INTRODUCTION

The purpose of these GTC is to define the provisions governing purchases in the ADRIENNE FELLER and Panarom WEBSHOP available at www.panarom.hu and www.adriennefeller.com (hereinafter collectively referred to as ‘Website’). The ADRIENNE FELLER and Panarom WEBSHOP (hereinafter referred to as the "Webshop") is operated by ADRIENNE FELLER Cosmetics Zrt. (registered office: H-5126 Jászfényszaru, Albert Einstein út 3., tax number: 25401013-2-16, company registration number: 16- 10-001818; registered at the Szolnok General Court; Customer Service telephone number: +3612448345, email address: ugyfelszolgalat@adriennefeller.com, hereinafter referred to as "AFC Zrt.").

The present GTC may be unilaterally amended by AFC Zrt. at any time, without the consent of the contracting party, with ex futuro effect. AFC Zrt. will notify the Customer of any changes to the GTC via the Website. 

The matters not regulated herein shall be governed by the established practice of AFC Zrt. and the provisions of Act V of 2013 on the Civil Code (hereinafter referred to as the "Civil Code”) and Government Decree 45/2014 (26.II.) on the detailed rules of contracts between consumers and businesses. 

Orders can only be placed via the Webshop. AFC Zrt. does not accept, and these GTC do not cover, orders placed by telephone, fax, post, email, or any other means other than ordering through the Webshop. AFC Zrt. does not currently apply a code of conduct pursuant to Act XLVII of 2008 on the Prohibition of Unfair Commercial Practices against Consumers, nor is AFC Zrt. a signatory to such a code of conduct. 

 

  1. DEFINITIONS, INTERPRETATIVE PROVISIONS

Adrienne Feller Products: Products and cosmetic accessories under the brand ADRIENNE FELLER, available in the Webshop.

Consumer or Retail User: A natural person who is a Consumer acting outside the scope of his/her profession, self-employment, or business activity and who is a Consumer under the law. 

Guarantee: The mandatory guarantee for consumer contracts provided for in the Civil Code and a separate law.

Panarom Products: The Panarom branded products and aromatherapy accessories available in the Webshop.

Professional Price:

  • For retail products, the purchase price discounted compared to the consumer price, reduced by the amount determined by AFC Zrt.
  • For Professional Products, the purchase price provided to Professional Customers.

Professional Customer:

  • For the purchase of Adrienne Feller Products: cosmeticians, cosmetology students, students and graduates of the ADRIENNE FELLER Academy of Beauty Therapy, whose professional registration has been confirmed by AFC Zrt. by email or other individual assessment after sending the certificates entitling for professional registration to AFC Zrt. or uploading them to the Website (hereinafter referred to as "Adrienne Feller Professional Customer"). Adrienne Feller Professional Customers are entitled to purchase at a Professional Price the Retail Products and Professional Products that are also Adrienne Feller Products, as well as the Retail Products and Professional Products that are also Panarom Products.

 

  • For the purchase of Panarom Products: the Customers listed in Chapter XII, section VI, whose professional registration has been confirmed by AFC Zrt. (hereinafter referred to as "Panarom Professional Customer"). The Panarom Professional Customer is entitled to purchase at a Professional Price the Retail Products and Professional Products that are also Panarom products.

 

Product: Any goods offered for sale on the Website, excluding items sold as a result of enforcement proceedings or other official measures. 

Retail Product: A Product that can be purchased by anyone in the Webshop.

Professional Product: A Product listed in the Webshop that can only be purchased with a professional registration.

Customer: Generic term for Consumers and Professional Customers, the person using the Webshop. 

Guest User: An unregistered Consumer or Retail User. 

Shop: The ADRIENNE FELLER STORE (MOM Park, H-1123 Budapest, Alkotás utca 53, level -1) and the PANAROM STORE (Mammut I., H-1024 Budapest, Lövőház utca 2-6; ground floor) together or separately.

III. THE PURCHASE PROCESS 

  1. PRODUCTS AVAILABLE FOR ORDER

AFC Zrt. publishes the Products that can be ordered by Customers in its online catalogue on the Website. Some Products are available only to Professional Customers, while other Products are available to all Customers. 

Resale of the Retail Products in other retail outlets or webshops is only possible on the basis of a separate resale agreement with AFC Zrt. No separate resale agreement is required for resale if in the case of Adrienne Feller Products the cosmetician Professional Customer and in the case of Panarom Products the Professional Customer sells the Retail Products to his/her customers who are Consumers in his/her own salon.

 

Professional Customers are not entitled to resell the Professional Products to third parties, Professional Customers may only use them directly for their own professional activities. In the event of a breach of this obligation, AFC Zrt. is entitled to withdraw the Professional Customer's qualification as Professional Customer.

 

  1. REGISTRATION, LOGIN, ORDERING

 There are two ways to order Products:

 - as an unregistered Guest user or

- as a registered Customer.

Two types of registration are possible in the Webshop: 

  • Retail (user) registration: Registration requires the completion of the registration form in full with true and accurate data, as well as the confirmation that the Retail User has read and accepted the GTC and the Privacy Policy and agrees to the processing of his/her data by AFC Zrt. Retail Users can only register for workshops/courses reserved for Retail Users, which are specifically marked in the Webshop.

 

  • Professional registration: Professional registration in the Webshop is possible for Professional Customers under section II.

Professional registration is subject to (i) the uploading of supporting documents (e.g. school attendance certificate, diploma, degree, agreement, etc.), (ii) written confirmation (by email) by AFC Zrt., and (iii) acceptance of the GTC and the Privacy Policy on the Website and consent to the processing of data by AFC Zrt. Pending confirmation of professional registration by AFC Zrt., the registrant may make purchases under the terms and conditions applicable to Retail users. For cosmetology students, the annual certificate of attendance for that year must be uploaded annually.

Users with a professional registration can make purchases at Professional Prices in the Webshop, and they can enroll in professional training courses at the ADRIENNE FELLER Academy of Beauty Therapy and the Panarom Aromatherapy Institute. Individual discounts for professional registrants will be set up in the Webshop.

Applications for workshops/courses requires registration, i.e. the creation of a personal user account, and acceptance of the Student Policy/Statement. 

Registration for workshops/courses is possible via the Website. The discounted workshop/course fee is valid until the indicated discounted payment deadline, after which the full workshop/course fee will be due. In case of overbooking, AFC Zrt. will take into account the order of payment. In the case of cancellation of a paid course, AFC Zrt. will refund half (50%) of the workshop/course fee if the cancellation is made before the discounted payment deadline. In the event of cancellation after the discounted payment deadline, the applicant is not entitled to a refund of the workshop/course fee or to transfer to another workshop/course. 

In the case of a registered Customer, in order to place an order or to register for a workshop/course, the Customer must log in as a user to his/her registered user account on the Website. 

Registration is possible by entering an email address on the Registration page, which is accessed via the 'Login' button (human-shaped icon) in the top right corner of the screen.

Registration is possible either as an individual or as a company/entrepreneur.

 

Private individuals are required to provide the following information:

  • Last name
  • First name
  • Email address: The system will send notifications to this address, which is also necessary for contact.
  • Phone number: AFC Zrt. will use this number to conciliate the data required to fulfil the order and to participate in the workshop/training course, and the delivery partner will use this number to coordinate the receipt of the package.
  • Delivery address and billing details: If different, both must be provided during registration. The delivery address must be exact (e.g. staircase, building, floor, door, doorbell number).
  • Registration of those entitled to purchase at a Professional Price, i.e. when registering as a professional, are required to upload a document proving eligibility.
  • Password: Password of the Customer’s choice, required to access the system
  • Password again: To perform a check and detect possible typos

The following information is required for companies/entrepreneurs:

 

  • Tax number 
  • Last name (customer’s last name, which is not the billing name)
  • First name (customer's first name, which is not the billing name)
  • Company name: (billing name) will be automatically filled in from our company information database when the tax number is entered.
  • Phone number: AFC Zrt. will use this number to conciliate the data required to fulfil the order and to participate in the workshop/training course, and the delivery partner will use this number to coordinate the receipt of the package.
  • Address fields are automatically populated from our company information database after the tax number is provided.
  • Delivery address and billing details: If different, both must be provided during registration. The delivery address must be exact (e.g. staircase, building, floor, door, doorbell number).
  • Registration of those entitled to purchase at a Professional Price, i.e. when registering as a professional, are required to upload a document proving eligibility.
  • Password: Password of the Customer’s choice, required to access the system.
  • Password again: To perform a check and detect possible typos.

 

Our company information database ensures the accuracy of company data.

 

These data are the necessary minimum for the Customer to log in to the system and for AFC Zrt. to deliver the ordered Products.

After accepting the GTC and the Privacy Policy, the registration process is completed by clicking on the ‘Registration' button in the bottom left corner of the registration form. The Customer can then log in by entering his/her email address and password.

In the case of professional registration, in addition to the general confirmation, a separate confirmation explicitly confirming the professional registration is also required for the acceptance of the registration. Professional Customers may only use one billing name and billing address for the email address provided during registration. Registration with a separate email address is required for multiple billing names or addresses, and the discounts for each user account are separate per user account and cannot be combined.

If a registered Customer wishes to place an order, they must log in to the Webshop to order the Products placed in the shopping cart or selected subsequently or to register for workshops/courses of the ADRIENNE FELLER Academy of Beauty Therapy or the Panarom Aromatherapy Institute; logging in also provides an opportunity for checking, modifying, or saving the data provided during registration by clicking on "My Account" in the top right corner of the screen. 

AFC Zrt. will only accept the order if the Customer fills in all the fields required for the order. In case of incomplete or false data provided by the Customer, AFC Zrt. is entitled to refuse the order. AFC Zrt. shall not be liable for any damages resulting from incorrect performance due to incorrect data provided by the Customer, and the Customer shall be solely responsible for the data provided. 

Add the products you wish to purchase to your shopping cart by clicking on the "add to cart" icon on the product page after selecting the packaging. By default, 1 (one) item will be added to your shopping cart; if you wish to buy more of the same Product, simply change the number to the desired quantity on the product page or in the cart under the Product. 

If you change your mind or if you have accidentally added a Product to your shopping cart, you can also remove it from the cart by clicking on the "trash" icon next to the Product. 

If you decide to proceed with the purchase, click on "Proceed to checkout". 

You will then be taken to the Billing and shipping details, which, in the case of a registered Customer, will be automatically filled in by the system based on the information provided during registration, but you can also change the details here. 

Professional Customers who are natural persons may change their billing name only if the name they gave when registering has changed (e.g. in case of marriage). Non-individual Professional Customers can only change the billing name if the company name given at registration has changed (e.g. change of company name, succession). For Professional Customers, the billing address data can also only be changed if there is a change of address in the case of an individual or a change of registered office in the case of a company. The change of the billing name or billing address can be initiated by the Customer at the AFC Zrt. customer service, and it can only be approved by AFC Zrt. through the admin interface. In the event of a fraudulent change of name or address (whether billing or shipping address), AFC Zrt. is unilaterally entitled to refuse the request for change and reserves the right to revoke the Professional Customer's Professional Customer qualification.

Professional Customers shall use the address of the registered office or residence used for their professional activity as their primary delivery address. In addition to the registered office or place of residence used for their professional activity, Professional Customers are also entitled to enter additional locations, branches, and addresses used for their professional activity as additional delivery addresses, which they can do in their user account.

If the data changes are not based on a real change or the possibility to record additional delivery addresses is misused, AFC Zrt. may unilaterally decide to withdraw the possibility to apply the Professional Price and may apply the Retail Price.

If you are purchasing as a Guest user or a registered Customer and did not fill in the billing address during registration, you need to enter it here. For registered Customers, if the delivery address is different from the one entered when registering, you can enter the new address by ticking the box. This address will then be saved as the delivery address on the profile page, so the system will automatically copy it to the next purchase unless it is changed. To ensure successful delivery, it is necessary to be able to identify exactly who to look for with the packet at the postal address provided. 

The next step for Retail Users is to finalise the purchase by clicking on the "Order" button, which will always be sent by email and can be checked in the "My Account" menu in the "My Orders" submenu. 

Acceptance of these GTC is made during the registration process for registered Customers and immediately prior to the dispatch of the order for Guest Users.

  1. PRICE OF PRODUCTS

The current retail prices of the Products are set out in the current product catalogue on the Website. Prices are quoted in HUF or EUR and include VAT. After logging in to the Webshop, Retail Users will continue to see the current retail price applicable to them, while Professional Customers will see the Professional Price. 

The price indicated for the Product does not include the cost of delivery. In all cases, the amount to be paid is the total amount of the cart. The total amount of the cart includes shipping costs. 

AFC Zrt. reserves the right to change the prices published in the Webshop, with the modification taking effect at the same time as publication on the Website. This also means that the system always calculates the value of the shopping cart using the current prices applicable for the Customer. Price changes do not affect the purchase prices of products already ordered and confirmed. 

If AFC Zrt. indicates an incorrect purchase price despite the due diligence it is expected to exercise, especially if it is obviously incorrect (e.g. the price is indicated at a price that differs significantly from the generally accepted market price of the product, or a possible system error, e.g. 0 Ft/EUR or 1 Ft/EUR), AFC Zrt. is not obliged to sell the product at the incorrectly indicated price. In this case, AFC Zrt. will offer to sell at the actual price and if the Customer does not accept it, he/she may cancel the order. 

If interest is payable under the law, the central bank base rate is the base rate of the National Bank of Hungary (MNB) for forint-based contracts and the European Central Bank (ECB) for euro-based contracts.

Prices in foreign currencies shown in the webshop are indicative. The final amount to be paid will be determined on the basis of the exchange rate applicable at the time of payment. Prices may vary depending on fluctuations in the current MNB central rate.

  1. METHOD OF PAYMENT

When placing an order, the Customer who chooses a domestic delivery address and pays in HUF may choose to pay the purchase price of the ordered Products by credit card online when ordering the Products or by cash on delivery (cash or credit card) when receiving the Products. The cash on delivery payment method costs HUF 700, both in cash and (upon receipt) by credit card. Payment on delivery is available for residential customers up to a gross order value of HUF 100,000, for professional customers up to a gross order value of HUF 150,000.

Online credit card payments are made through the Barion system. 

For payment in euro, payment by credit card using the Barion system is the only option.

Payment methods:

  • Cash on delivery upon receipt of the product

For Retail Users, Guest Users and Professional Customers.

If the packet is returned from the delivery address provided by the Customer without acceptance, AFC Zrt. will accept the next order only upon payment in advance of the purchase price of the Products and all costs related to the fulfilment of the order. If the Customer fails to pay the costs under this section within 15 (fifteen) days after the return of the package to AFC Zrt., AFC Zrt. is entitled to cancel the order.

AFC Zrt. is not able to send COD orders to P.O. Box addresses. 

AFC Zrt. reserves the right to refuse cash on delivery orders and to request payment in advance, subject to business risk. The Customer will be notified of this. In such a case, the Customer is entitled to withdraw from the order if he/she does not wish to pay the purchase price of the Products and the applicable fees in advance.

  • Payment by credit card via BARION

For Retail Users, Professional Customers and Guest Users.

 

Barion is an electronic payment service that allows the Customer to pay conveniently and securely by credit card or with a pre-filled balance in our online webshop.

Credit card details are not transmitted to AFC Zrt. The service provider Barion Payment Zrt. is an institution supervised by the National Bank of Hungary, with the following licence number: H-EN-I-1064/2013.

Barion payment allows the Customer to shop conveniently and securely in the Webshop. After ordering the selected Products, the Customer will be redirected to the Barion payment page. A Barion registration is not required for credit card payments. All the Customer has to do is click on "Barion" when selecting the payment method and then enter the card number, expiry date, the verification code (CVC/CVV) on the back of the card, and the email address on the Barion payment server. 

The information requested by Barion is necessary for completing the transaction on the Barion website. By clicking on the "Pay" and "Cancel" buttons, the Customer is redirected to the Website, where he/she will be informed about the success or failure of the transaction. The information is displayed on the user interface and is also sent by email to the email address provided by the Customer.

The following cards are accepted:

  • Mastercard or Maestro credit card
  • Visa or Electron credit card
  • Amex credit card

 

 

If the Customer does not have a credit card, he/she can use his/her pre-filled Barion balance to provide payment. In this case, the Customer can pay by providing the email address and password of his/her Barion account.

Paying with a credit card incurs no additional costs for Customers. Barion registration and the Barion mobile app may be used free of charge, with no hidden costs. 

Barion servers are protected by 2048-bit TLS encryption. Before making a payment, it is always necessary to check that the credit card details or password required for the payment are indeed entered on Barion's secure server. 

Barion is PCI DSS certified as required by credit card companies, and is therefore entitled to process credit card data. The security of Barion servers is designed in accordance with the requirements of the National Bank of Hungary.

AFC Zrt. assumes no liability whatsoever in relation to payment through the Barion system.

  1. CONFIRMATION

AFC Zrt. will confirm the order to the Customer electronically by email sent to the email address provided by the Customer. If the confirmation is not received by the Customer within 2 (two) business days of the Customer's order, the Customer's payment obligation shall terminate without any further conditions. AFC Zrt. is only obliged to fulfil the order if the order has been confirmed. The contract is concluded upon receipt of the confirmation by the Customer. The confirmation is deemed to have been received by the Customer when the email containing the confirmation becomes available to the Customer. Upon conclusion of the contract, AFC Zrt. is obliged to deliver the Products and the Customer is obliged to pay the purchase price of the Products and to take delivery of the Products. 

  1. THE TRANSFER OF PRODUCTS, DELIVERY METHODS

6.1 DELIVERY TIME 

The delivery time agreed by AFC Zrt. is on average 2-7 working days from the confirmation of the order, i.e. from the conclusion of the contract. The Customer will be notified by email when the ordered Products are handed over to the courier service. Delivery of the Products will be made within 1-4 working days from the delivery of the Products to the courier service, between 8 a.m. and 5 p.m. On the day of delivery, the courier service will notify the Customer by SMS of the expected delivery time.

If AFC Zrt. does not have the specified Product in stock or is unable to provide the ordered service, the Customer will be informed and the further course of the order will be agreed before delivery. 

6.2. DELIVERY 

The Customer can choose either home delivery by courier or delivery to a delivery point when placing the order. In addition to delivery with courier service and delivery to a delivery point, Professional Customers may choose to personally take delivery of the products at the AFC Zrt. branch office (H-1036 Budapest, Perc utca 2., 4th floor). In the case of personal pick-up, AFC Zrt. will notify the Professional Customer by email when the ordered products have been compiled. The Professional Customer may only take delivery of the Products ordered by him/her after this notification during the respective wholesale opening hours.

Delivery by courier service is made to the delivery address provided by the Customer at the time of ordering. The Customer is obliged to ensure that at the time of delivery there is a person at the delivery address provided by the Customer who is entitled to receive the ordered Products. If the Customer fails to do so, the Customer shall be liable for all resulting damages and costs. Delivery to the delivery point is made to the delivery point chosen by the Customer at the time of ordering and provided by the courier service. 

The Customer is responsible for the packaging and delivery costs incurred, which are fixed unit prices that may vary depending on current market price fluctuations and in the case of possible delivery by another supplier. Delivery costs are all costs incurred in connection with the delivery between the registered office / site / branch of AFC Zrt. and the delivery address provided by the Customer (e.g. if a collection permit is required, the cost of this is also included). 

6.3 PERSONAL PICK-UP

For Retail Users, in the case of payment by credit card at the time of order.

If the Retail User chooses to pay by credit card when placing the order, he/she has the option to select the delivery method by clicking on the "Pick-up in store" button and choosing to pick up the Product in person. The Retail User can then choose the Store where he/she wishes to pick up the Product.

The Retail User, after selecting the Store indicated as the place of pick-up, completes the purchase and pays for the Product in accordance with the rules for payment through the BARION system in section 4. In case of personal pick-up, payment cannot be provided in the Store.

The Retail User will be sent a confirmation email within 24 hours of completing the purchase, to the email address provided by the Retail User during the purchase. The confirmation email will contain the unique identifier of the purchase (order identifier), the Product(s) purchased, the total gross amount of the purchase, the fact that the Product(s) can be picked up within 5 working days from the date of sending the collection information email, and the Store chosen by the Retail User for personal pick-up.

The Retail User will be notified by email of the arrival of the Product at the Store, and will be able to take delivery of the Product from the Store indicated in the notification within 5 days of the date of sending the notification. Pick-up is based on the order ID and the name on the order. AFC Zrt. issues a receipt of delivery, which the Retail User is required to sign. AFC Zrt. is not obliged to hand over the Product in the absence of the signed receipt. Failure to sign the acknowledgement of receipt excludes the simultaneous delay of AFC Zrt.

Receipt is subject to the presentation of a unique order identification. The Retail User shall be liable for ensuring that the order identifier does not fall into the possession of any unauthorised third party. AFC Zrt. is not obliged to identify the person presenting the order ID and does not assume any liability if it has handed over the Product to the person presenting the order ID; handover to such person constitutes a contractual act of AFC Zrt.

If the Retail User does not take delivery of the Product within 5 days, he/she will be in default of delivery, which will exclude the simultaneous delay of AFC Zrt. AFC Zrt. shall store the Product in the warehouse of the Store for a daily fee of HUF 300 (i.e. three hundred forints) per day during the period of delay.

In the event of a delay of the Retail User exceeding 30 days, the legal consequences of refusal to perform shall apply, on the basis of which the performance of the contract between the parties shall become impossible. In this case, the Retail User shall not be entitled to recover the purchase price already paid, and AFC Zrt. may claim from the Retail User the part of its claim for damages resulting from the impossibility of performance exceeding the purchase price.

In the event of delay, the Retail User shall pay the storage fee charged at the time of actual delivery of the Product against an invoice issued by AFC Zrt. AFC Zrt. is entitled to retain the Product until payment of the storage fee. In case of impossibility of the contract, the Retail User is obliged to pay the storage fee and the part of the claim of AFC Zrt. exceeding the purchase price against the payment Policy sent to him or her by AFC Zrt. and the invoice attached to it.

6.4 HOME DELIVERY 

The ordered Product(s) will be delivered by the GLS, MPL, or Packeta courier service in case of delivery to a Hungarian address, or by Packeta or GLS Courier Service in case of delivery to a foreign address. AFC Zrt. defines the delivery of the goods to the Customer's home address as the delivery method chosen by the Customer when placing the order. The Customer shall pay the costs of delivery to AFC Zrt. together with the payment of the purchase price.

GLS home delivery: HUF 1990 

MPL home delivery: HUF 2490 

Delivery to GLS packet point: HUF 1490  

Delivery to Packeta packet point: HUF 1490

Packeta packet delivery abroad: HUF 4550

GLS packet delivery abroad: HUF 5550

In case of payment on delivery: 

GLS home delivery: HUF 2690 

MPL home delivery: HUF 3190 

Delivery to GLS packet point: HUF 2190  

Delivery to Packeta packet point: HUF 2190

In the case of free delivery, payment on delivery (either cash or credit card on receipt): HUF 700 

The above delivery costs are per order.

In the event of a first unsuccessful delivery, the carrier will leave a Policy at the Customer’s address, after which it will attempt to deliver the packet again 2 (two) days later. After two failed deliveries, the ordered Products will be returned to AFC Zrt. The Customer can then agree on a new delivery date with AFC Zrt. The new delivery will be made after reimbursement of all transport costs (delivery and return) incurred in connection with the previously unsuccessful delivery.  

In the case of a domestic delivery address, if the gross value of the order exceeds the current value as stated in the Webshop, delivery is free of charge. This value is currently gross HUF 30,000 (thirty thousand HUF) for retail purchases and gross HUF 50,000 (fifty thousand HUF) for professional purchases, and is applicable per order. Free shipping applies only to one delivery address specified by the Customer at the time of ordering. If the Customer specifies more than one delivery address, free shipping applies to only one domestic delivery address when placing an order with free shipping. 

  1. FOREIGN CUSTOMER ADDRESSES AND FOREIGN DELIVERY ADDRESSES

APPLICABLE DEROGATING RULES

If the Customer orders delivery to a foreign address or has a foreign address, the provisions of these GTC apply with the exceptions provided for in this section.

Currently, outside of Hungary AFC Zrt. delivers to delivery addresses in Slovakia and Romania.

A Customer with a foreign address may register on the Website as a Retail User only. Online registration for workshops/courses with professional registration is not yet available for Customers with a foreign address. 

If the Customer chooses a delivery address abroad, he/she can only choose to pay by credit card.

In the case of delivery to a foreign address, the Customer can choose delivery by GLS or Packeta courier at the time of ordering and there is no free home delivery.

  1. ABOUT PRODUCTS IN GENERAL, CHECKING PRODUCTS

According to relevant Hungarian legislation, the Products may be used for cosmetic purposes and they may not be used internally. AFC Zrt. declares that the Products are made of natural materials, that they may cause allergic reactions for which AFC Zrt. does not assume any liability, and that the raw materials used in each production may vary in colour and scent, which does not affect the quality of the Products.

At the time of delivery, the Customer is obliged to check the contents of the package (the Products) by type and quantity and to sign the delivery note if the delivery is found to be complete. Thereafter, AFC Zrt. will not accept any complaints regarding defects in the type and quantity of the Products. In the event of a complaint about the type or quantity of the Products, the Customer may lodge the complaint using the 'Cancellation/Cancellation Policy form' in the Cancellation section. If the Customer does not object to the type or quantity of the Products at the time of delivery, he/she may not object to them subsequently (unless he/she is a Consumer). An objection regarding the type and quantity of the Products is admissible only if the type and quantity of the Products delivered differs from the type and/or quantity of the Products delivered by the Customer and confirmed by AFC Zrt. 

The Customer shall carry out a quality inspection of the Products within 72 hours after receipt of the Products and notify AFC Zrt. without delay in writing of any quality complaints. 

The risk of damage to the Product is transferred to the Customer upon delivery of the Product to the Customer or to a person acting on behalf of the Customer. 

              VI. WITHDRAWAL

The Consumer has the right to withdraw from the order after the order has been placed, but before the delivery of the ordered Product to the courier service in charge of delivery. The Consumer is entitled to submit this request in writing (electronically or by post) to the AFC Zrt. email address indicated in section I or to the postal address of AFC Zrt.’s customer service (H-1033 Budapest, Szentendrei út 89-95, building 72, ground floor). In this case, the Consumer shall not be liable for any costs and shall not be obliged to pay the purchase price of the ordered products, and any purchase price already paid by the Consumer by credit card shall be returned to the Consumer, which shall be paid by AFC Zrt. within 30 (thirty) days of receipt of the cancellation Policy. 

If the delivery has already taken place, the Consumer has the right to withdraw from the contract, which, in the case of a contract for the sale of goods, may be exercised within 14 (fourteen) days of the date of receipt of 

  1. the Product,
  2. in the case of multiple Products, if each Product is supplied at a different time, the last Product supplied,
  3. in case of a Product consisting of several items or pieces, the last item or piece delivered,
  4. if the Product is to be provided on a regular basis within a specified period, the first service,

by the Consumer or the third party other than the Carrier, in a written statement addressed to AFC Zrt. The Consumer does not have to specify a reason for withdrawal. The Consumer may send the Policy of withdrawal by email or by post. 

The Consumer is only entitled to exercise the right of withdrawal after delivery of the Product(s) if the Product(s) have not been opened or used. The Products are sealed products that cannot be returned after opening for health and hygiene reasons. 

The Consumer may exercise the right of withdrawal by using the model declaration in Annex 2 of Government Decree 45/2014 (26.II.) on the detailed rules of contracts between consumers and businesses (hereinafter referred to as the "Government Decree") or by means of an unambiguous statement to that effect.

The right of withdrawal is also valid if the Consumer sends the statement before the expiry of the deadline. The Consumer bears the burden of proof that the Consumer exercised the right of withdrawal within the time limit. 

In the event of withdrawal, the Consumer shall return the Product(s) for which he/she has withdrawn from the contract without undue delay, but no later than within 14 (fourteen) days from the date of the withdrawal. The cost of returning the Product(s) will be borne by the Consumer. AFC Zrt. is not obliged to accept a postage-due shipment; if it does, it is entitled to deduct from the amount refundable to the Consumer the amount paid by the Consumer in connection with the return of the Product(s). The Product(s) can be returned by post or courier to the address below:

The return is deemed to have been completed on time if the Consumer sends the Product before the deadline.  

In the event of exercising the right of withdrawal, AFC Zrt. shall reimburse the total amount paid by the Consumer as consideration, including the costs incurred in connection with the performance, without delay, but no later than within 14 (fourteen) days from the date of its knowledge of the withdrawal. AFC Zrt. is obliged to refund the full amount of the purchase price paid only if the Consumer returns the product(s) to AFC Zrt. unopened and suitable for resale, in undamaged packaging. 

AFC Zrt. will refund the amount returned to the Consumer in the same way as the payment method used by the Consumer. With the express consent of the Consumer, AFC Zrt. may use another method of payment for the refund, but the Consumer shall not be charged any additional fees. However, if the Consumer explicitly chooses a mode of delivery other than the least costly standard mode of transport, AFC Zrt. is not obliged to reimburse the additional costs resulting from this. 

In the case of a contract for the sale of a Product, AFC Zrt. may withhold the amount due to the Consumer until the Consumer has returned the Product or has proved beyond reasonable doubt that he or she has returned it, whichever is earlier. AFC Zrt. does not have the right of retention if it has undertaken to return the Product(s) itself. 

According to the legal provisions in force, the Consumer may not exercise the right of withdrawal in the cases specified in Section 29 of the Government Decree. The provisions of Section 29 of the Government Decree are included in Annex 1 to the present GTC.

VII. INFORMATION FOR CONSUMERS ON LIABILITY FOR MATERIAL DEFECTS, PRODUCT WARRANTIES, AND GUARANTEES

Information to Consumers is provided on the basis of the sample information Policy set out in Annex 3 of the Government Decree. 

Sample information Policy on liability for material defects, product warranties, and guarantees 

  1. LIABILITY FOR MATERIAL DEFECTS
  • In which cases can you exercise your right to liability for material defects?

o In the event of defective performance by AFC Zrt., you may assert a claim for compensation against AFC Zrt. according to the rules of the Civil Code. 

  • What rights do you have under a claim for liability for material defects?

o You may, at your option, make the following claims for liability for material defects: 

You may request a repair or replacement, unless one of these is impossible or would impose a disproportionate additional cost on AFC Zrt. compared to another claim. If you have not requested or could not request a repair or replacement, you may request a proportionate reduction of the price or you may have the defect repaired or replaced by another party at AFC Zrt.'s expense or, as a last resort, you may withdraw from the contract. You may switch from one right to liability for material defects to another, but you will be responsible for the cost of such switch unless it was justified or the switch was necessary because of AFC Zrt. 

  • What is the time limit for exercising a claim to liability for material defects?

o You must notify us of the defect immediately after its discovery, but no later than 2 (two) months after the discovery of the defect. Please note, however, that you may not enforce your rights to liability for material defects beyond the 2 (two) year limitation period from the date of performance of the contract. 

  • Against whom can you exercise your claim for liability for material defects?

o You may assert your claim for liability for material defects against AFC Zrt. 

  • What other conditions are there for the enforcement of your rights under the liability for material defects?

o Within 6 (six) months from the date of performance, there is no other condition for the enforcement of your claim other than the notification of the defect, if you prove that the product or service was provided by AFC Zrt. However, after 6 (six) months from the date of performance, you will have to prove that the defect you have discovered existed at the time of performance. 

  1. PRODUCT WARRANTY
  • In which cases can you exercise your right to a product warranty?

o In the event of a defect in a tangible item (Product), you may, at your option, exercise your right or your right to product warranty under section 1. 

  • What rights do you have under a product warranty claim?

o As a product warranty claim, you can ask only for the defective product to be repaired or replaced. 

  • In which cases is the product considered defective?

o A product is defective if it does not meet the quality requirements in force when it was placed on the market or if it does not have the characteristics described by the manufacturer. 

  • What is the deadline for exercising the right to product warranty?

o You can exercise your right to the product warranty within 2 (two) years from the date the product was placed on the market by the manufacturer. After this time limit, you lose this right. 

  • Against whom and under what other conditions can the warranty claim be exercised?
    • You can only exercise your right to product warranty against the manufacturer or the distributor of the movable item. In order to exercise your product warranty right, you must prove that the product is defective.
  • In which cases is the manufacturer (distributor) exempted from its product warranty obligation? The manufacturer (distributor) is only exempted from its product warranty obligation if it can prove that:
    • it manufactured or marketed the product for purposes other than its business activities, or
    • the defect was not detectable according to the state of science and technology at the time it was placed on the market, or
    • the product defect results from the application of a legal or regulatory requirement.

The manufacturer (distributor) needs to prove only one reason to be afforded exemption. 

AFC Zrt. draws the attention of the Consumer to the fact that he/she may not assert a claim for liability for material defects and a product warranty claim for the same defect at the same time. However, the Consumer may, in the event of a successful product warranty claim, enforce his/her claim for liability for material defects against the manufacturer for the replaced product or repaired part. 

 

  1. Guarantee 
  • In which cases can you exercise your right to liability for material defects?
    • In the event of defective performance, AFC Zrt. is obliged to provide a guarantee under the Civil Code in the case of the Products specified in Government Decree 151/2003 (22.IX.) on the mandatory guarantee for certain consumer durables (hereinafter referred to as the “Guarantee Decree"). AFC Zrt. does not provide a guarantee for Products not covered by the Guarantee Decree. 
  • What are your rights under the guarantee and what are the applicable time limits?
    • Under a guarantee, the rightful claimant may request the repair or replacement of the defective product. The time limit for the claimant to assert a claim is one year from the delivery of the product to the consumer. Failure to meet the deadline will result in a loss of rights. The obligee is exempt if he proves that the cause of the defect arose after performance was provided. The guarantee does not affect the other rights of the beneficiary under law.
  • When is AFC Zrt. released from its guarantee obligation?
    • AFC Zrt. shall be released from its guarantee obligation only if it proves that the cause of the defect arose after performance.
  • What happens if the same product becomes defective more than once within the guarantee period?
    • According to the Guarantee Decree, if the consumer product becomes defective again after being repaired three times during the specified guarantee period, unless otherwise agreed by the consumer, and if the consumer does not request a proportionate reduction of the purchase price and does not wish to have the consumer product repaired or replaced at the expense of the company, AFC Zrt. is obliged to replace the consumer product within 8 (eight) days. If the consumable cannot be replaced, the company must reimburse the consumer within eight days for the purchase price indicated on the receipt or invoice issued by the consumer under the VAT Act, which proves payment of the price of the consumer goods.

Depending on the value of the Product, AFC Zrt. is obliged to provide a guarantee for the duration specified in the Guarantee Decree.

AFC Zrt. draws the attention of the Consumer to the fact that he/she may not assert a claim for liability for material defects and a guarantee claim for the same defect at the same time; however the Consumer is entitled to the rights related to the guarantee regardless of the rights set out in sections 1 and 2. 

  • LIABILITY

AFC Zrt. is not liable for any damages or costs incurred as a result of or in the course of the Customer's connection to the Webshop. It is the Customer's responsibility to assess how to protect the data stored on their computer from intruders. The Customer bears sole responsibility for accessing the AFC Zrt. Webshop and for purchases made on the AFC Zrt. Website. 

AFC Zrt. is not liable for any damages caused by the Customer's individual sensitivity or allergy during or after the use of the product.

The Products may be used in accordance with the instructions for use until the expiry of the warranty period. 

  1. RESALE RESTRICTIONS

By accepting these General Terms and Conditions, Customers acknowledge that they are not entitled to sell the Products distributed by AFC Zrt. on online or offline platforms that are not authorised by AFC Zrt. (currently Facebook Marketplace, Jófogás, Vatera, and other online community marketplaces). By accepting these General Terms and Conditions, Customers further state that they will comply with the restrictions on resale set out in Section 1 of Chapter III and undertake to act in accordance with the provisions of that section.

  1. COMPLAINT MANAGEMENT AND CONSUMER PROTECTION

AFC Zrt. shall comply with the consumer protection provisions in force at any given time, in particular, but not exclusively, with the provisions of Act CLV of 1997 on Consumer Protection.

As required by law, AFC Zrt. will respond to written complaints within thirty (30) days; in the event of a negative response, it will state the reasons for its response and keep it for the period specified in the applicable legislation.

 

If the complaint is rejected, AFC Zrt. will also inform the Consumer in writing of the authority or conciliation body to which he/she may refer the complaint, depending on its nature. The information shall also include the headquarters, phone and Internet contact details, and postal address of the competent authority or conciliation body of the Consumer's place of residence or stay. The information also includes whether AFC Zrt. will use the conciliation procedure to settle the consumer dispute. 

If the Consumer makes a complaint or objection orally in person to AFC Zrt. Customer Service, it will be promptly investigated and, if possible, promptly remedied by AFC Zrt. If this is not possible, a record will be made, a copy of which will be given to the complainant. In the case of a verbal complaint not made in person, a record is made and sent by AFC Zrt. to the Consumer no later than the time of the substantive reply. 

The local consumer protection authority: Metropolitan Government Office of Budapest, Consumer Protection Division, Technical, Licensing and Consumer Protection Department (H-1052 Budapest, Városház u. 7.). 

In accordance with the provisions of Government Decree 210/2009 (29.IX.) on the conditions for carrying out commercial activities, the Customer Service has a customer book in case the Consumer wishes to make a complaint in writing at the Customer Service.

  1. DATA PROTECTION 

AFC Zrt. values the protection of personal data and therefore processes the personal data provided to it in accordance with the applicable data protection legislation. AFC Zrt. shall provide detailed information on its data processing activities in connection with these GTC in the Privacy Policy adopted at the time of placing the order. The Customer expressly consents to AFC Zrt. using the data provided during the use of the Website for the purposes set out in the Privacy Policy.

 

XII. SPECIAL SALES AND DISCOUNT PROGRAMMES 

  1. Online retail loyalty programme

 

  1. Participation in the programme

Only retail users may participate in the Online Retail Loyalty Programme (hereinafter referred to as the “Programme" in this Chapter XII).

Registration for the Programme is possible in the user account, at the time of purchase, or on the Programme subpage.

Participation in the Programme is free of charge and does not create any obligation to make any purchases on the Website.

  1. Collecting points

When purchasing a product, the Retail User collects points, the value of which can be redeemed.

Loyalty points can only be collected for HUF purchases.

When making purchases

o 1 point per 100 HUF will be credited if the Retail User has accumulated up to

600 points on the Website based on the value of his/her purchases within a given calendar year;

o 1 point per HUF 50 will be credited if the retail user has accumulated more than 600 points on the Website based on the value of his/her purchases within a given calendar year.

Up to 5000 points can be credited per purchase.

On 1 January of each year, the points will be recalculated, so from 1 January of each year, 1 point will be credited for every HUF 100 until 600 points are accumulated, after which 1 point will be credited for every HUF 50.

The points will be credited on the 15th (fifteenth) day after the delivery of the Product(s).

AFC Zrt. reserves the right to periodically credit extra points to the Retail User for certain promotions.

The current points balance and details of points credited and used can be viewed in the user's account details.

 

  1. Redeeming points

Points are redeemed by the Retail User by paying a portion of the purchase price due for a Product at the time of purchase of the Product using the value of his/her points. Points can be redeemed only when the invoice is issued to the Consumer’s name. When redeeming points, 1 point is worth HUF 1.

The value of points redeemable on a single purchase cannot exceed 50% of the value of the purchase.

Loyalty points can be redeemed for HUF purchases only.

AFC Zrt. provides free home delivery in Hungary for certain purchases above the amount published on the Website. In determining whether this limit has been reached, AFC Zrt. will take into account the purchase amount before the points are redeemed. The free home delivery subject to the limit does not apply for MPL home delivery.

Points collection starts again on 1 January of each calendar year. Points earned in the previous calendar year can be redeemed up to 31 March of the current year; points not redeemed by then will be cancelled.

  1. Withdrawal and termination

In the event that a Retail User becomes a Professional Customer on the Website, he/she will be excluded from the Programme.

If the Retail User withdraws from the contract, AFC Zrt. will deduct the points credited for that purchase from the points balance, as well as in case of any error, misuse, or fraud with regard to the points balance.

If the withdrawal is partial only, i.e. in case of several Products purchased at the same time, AFC Zrt. will deduct only the points credited for the Product(s) affected by the cancellation from the points balance.

If, prior to the deduction of points as described above, the Retail User has already used a number of points equal to the number of points deducted subsequently, his/her point balance may be negative, in which case the points collected subsequently will first be used to fill the negative point balance and only afterwards will the point balance actually be positively increased once the deficit has been fully filled.

In the event of a cancellation, if the Retail User has paid part of the purchase price for the Product ordered by using his/her points, the amount of points used will be re-credited to his/her balance.

In the event of a partial withdrawal, the amount of points used for the Product(s) affected by the withdrawal will not be re-credited to the Retail User's balance, but will be considered by AFC Zrt. as having been used by the Retail User to pay the purchase price for the Product(s) not affected by the withdrawal.

The Retail User may terminate his/her participation in the Programme at any time by sending a written Policy to AFC Zrt. by mail to the postal address at H-1036 Budapest, Perc utca 2, IV. em., or by email to adatkezeles@adriennefeller.com. Points not redeemed at the time of termination will be cancelled and will not be compensated in any way. 

AFC Zrt. may cancel the points applicable to Retail Users with immediate effect in case of breach of these conditions of participation.

AFC Zrt. reserves the right to unilaterally modify the Programme or any of its terms and conditions at any time.

  1. Professional discount scheme

Each Professional Customer who is entitled to a professional discount automatically participates in a discount programme by accepting these GTC, the terms of which are as follows: based on the purchases made in person at the wholesale store and the purchases made in the Webshop, AFC Zrt. will examine the purchases of the last 12 months at the end of each month, and based on this, from the month following the examination, will categorise the Professional Customer in one of the following discount brackets, with the Webshop's sales turnover forming the basis for the categorisation for the discount: 

  1. Professional Price minus 5% for purchases between net HUF 750,000 - 1,499,999. 
  2. Professional Price minus 10% for purchases between net HUF 1,500,000 - 2,999,999.
  3. Professional Price minus 15% for purchases over net HUF 3,000,000.

 

  • Adrienne Feller Advisory Programme (ATP):

 

Each Professional Customer registered as a cosmetician may, by accepting these GTC, participate in the ATP discount programme, the terms of which are as follows: the Professional Customer registered as a cosmetician will receive a code in his/her user account, which he/she will give to his/her guest for use in order to make a purchase on the Website. If the guest redeems the code in the user's account under the menu item ‘Advisory page', he/she will receive a 5% discount on the value of the Adrienne Feller Products in the cart and 10% of the value of the cart will be credited by AFC Zrt. as points on the online profile of the Professional Customer. 1 point=HUF 1. 

A Professional Customer registered as a cosmetician can use the points collected by his/her guests for all his/her online purchases exclusively for the purchase of professional (cabin) products. However, cosmeticians can credit up to half (50%) of the value of the basket in the form of points. 

 

Example: 

Cosmetician's points: 10,000 points

Cosmetic cart value: HUF 15,000, of which HUF 5,000 is the professional product, the customer can use a total of 2,500 points, which is equivalent to HUF 2,500. 

 

The Professional Customer registered as a cosmetician can view which guest (natural person) has made a purchase with his/her code and how many points the guest has received after the purchase, under the menu item "My Account - Advisor" – according to the appropriate data processing information and consent.

 

All points collected must be used no later than 11:59 p.m. on the 31st day of the 12th month of the current year, after which they will be automatically deleted. 

  1. PTP (Panarom Advisory Programme):

 

All nurses, midwives and doulas who have registered and received or requested their own code automatically participate in the PTP discount programme by accepting these Terms and Conditions, subject to the following conditions: the nurse/midwife/doula registered as a Professional Customer will receive a code of her own, which she will give to the pregnant women under her care for use in the purchase on the Website. If the mother validates this code in her user's account, under the menu item ‘Advisory page', she will receive a 5% discount on the value of the Baby-Mama products in her shopping cart within 3 years of the code validation, and the nurse/midwife/doula will receive 10% of the value of the shopping cart of the pregnant woman she is caring for, in the form of points credited by AFC Zrt. on the online profile of the Professional Customer. 1 point=HUF 1. 

A registered Professional Customer can use the points credited to him/her by his/her caregivers for each online purchase of his/her own, up to 50% of the value of the Panarom products in his/her shopping cart. The Advisor may not use the points for Panarom workshops/training courses. 

All points collected must be used no later than 11:59 p.m. on the 31st day of the 12th month of the current year, after which they will be automatically deleted.     

  1. Discounts for participation in a workshop/course:

 

A student who has registered for the Aromatherapist Basic Training organised by AFC Zrt. and does not have a professional qualification (hereinafter referred to as "student"), and who is certified to attend the 3-day Aromatherapist Basic Training, will be entitled to a discount of 10% on the retail price in the Webshop by entering the coupon code received by email after the workshop/course. This discount is valid for a period of 12 months from the start of the Aromatherapist Basic Training.

During the 3 days of the Aromatherapist Basic Training and all the training modules in the workshops/courses, students can purchase products at a 20% discount compared to the consumer price only at the wholesale shop of AFC Zrt. (H-1036 Budapest, Perc utca 2.).

If the student does not complete at least 3 workshops/courses within 12 months from the start of the initial training, which are exclusively modules of the diploma course, he/she may make purchases at the retail price applicable to Retail Users.

If the student completes (without any time limit) 3 more workshops/courses – exclusively included in the modules of the Aromatherapist Basic Training – in addition to the Aromatherapist Basic Training, the student will be considered a Professional Customer (from the date of approval by AFC Zrt.).

Registration for further workshops/courses is always open to students.

 

  1. Panarom Professional Customers:

With respect to Panarom Products, AFC Zrt. shall consider the Customers identified below as Panarom Professional Customers:

  • Certified Aromatherapist:
  • Students who paid the fee for the full aromatherapist training in one lump sum
  • Persons who completed the Aromatherapist Basic Training + 3 workshops/courses (included in the blocks of the aromatherapist training)
  • Cosmeticians, Cosmetician students
  • Higher education degree as a Phytotherapist, Naturopath, Herbalist or Aromatherapist
  • Midwifes, Doulas, Nurses
  • Pharmacists, Doctors
  • Therapeutic Masseurs, Regenerative Balneotherapeutic Masseurs, Sports Masseurs, Other Masseurs (on an individual basis, for courses of at least 100 hours), Physiotherapists
  • other, on an individual basis.

 

  • General rules for discounted purchases 

 

The discounts described in the chapter "SPECIAL SALES AND DISCOUNT PROGRAMMES" are granted by AFC Zrt. at its unilateral decision, provided that the Customer, in AFC Zrt.'s opinion, duly proves to AFC Zrt. that all the conditions for the eligibility for the discount in question are met. AFC Zrt. is not obliged to give reasons for the refusal of entitlement to the discount.

AFC Zrt. may, at its unilateral discretion, modify or terminate the benefits described in the section "SPECIAL SALES AND DISCOUNT PROGRAMMES" at any time, without any liability whatsoever.

  1. ANNEX

Section 29 OF GOVERNMENT DECREE 45/2014 (26.II.) 

The consumer may not exercise the right of withdrawal and termination under Section 20 of the Government Decree 

  1. (a) in the case of a contract for the provision of a service, after the entire provision of the service has been completed, if the business undertaking has begun the provision of the service with the consumer's express prior consent and the consumer has acknowledged that he will lose his/her right of withdrawal after the entire provision of the service has been completed;
  2. (b) in respect of a product or service the price or charge of which is subject to fluctuations in the financial market which cannot be influenced by the undertaking and are possible even during the period specified in Section 20 (2);
  3. (c) in the case of a product which is not a prefabricated product, which has been manufactured on the instructions or at the express request of the consumer, or a product which is clearly personalised for the consumer;
  4. (d) in respect of perishable products or products which will keep their quality for a short period;
  5. (e) in respect of sealed products which, for health or hygiene reasons, cannot be returned after opening after delivery;
  6. (f) in respect of products which, by their nature, are inseparably mixed with other products after the transfer;
  7. (g) in respect of alcoholic beverages the real value of which is dependent on market fluctuations in a manner beyond the control of the undertaking and the price of which has been agreed between the parties at the time of conclusion of the sales contract, but the contract is not performed until thirty days after the conclusion of the contract;
  8. (h) in the case of contracts for the provision of services where the business undertaking, at the express request of the consumer, visits the consumer to carry out urgent repair or maintenance work;
  9. (i) for the sale of a copy of a sound or video recording or computer software in sealed packaging, if the consumer has opened the packaging after delivery;
  10. (j) in respect of newspapers, periodicals, and journals, with the exception of subscription contracts;
  11. (k) for contracts concluded by public auction;
  12. (l) in the case of a contract for the provision of accommodation, transport, car rental, catering, or leisure activities, with the exception of services for residential purposes, where a deadline or period for performance has been fixed in the contract;
  13. (m) in respect of digital content provided on a non-tangible medium, if the undertaking has commenced performance with the consumer's express prior consent and the consumer has, at the same time as giving such consent, declared that he/she acknowledges that he/she loses his/her right under Section 20 once performance has commenced.

In the case set out in point (h) above, the right of withdrawal and termination under Section 20 shall cover services or products offered in addition to those expressly requested by the consumer and replacement parts used to carry out the maintenance or repair.
